GOVERNANCE STRUCTURE
The University Management Board serves as the executive governing body of Tom Mboya University, implementing policies and supporting the Vice-Chancellor in the daily management of the institution as specified in Section 35 (1)(c) of the Universities Act, 2012.

FUNCTIONS OF THE BOARD

Policy Implementation
Responsible for implementing the university's policies as established by the Council.
Executive Support
Supports the Vice-Chancellor in the day-to-day management of the university.
Governance Duties
Carries out additional governance responsibilities as outlined in the university's Charter.
COUNCIL COMMITTEES
Established in accordance with the Code of Governance for State Corporations (Mwongozo, 2015)
Audit and Risk Management Committee
Oversees financial reporting, internal controls, risk management, and audit functions.
Academic and Research Committee
Focuses on academic quality, research initiatives, and educational policy matters.
Finance, Planning, and Investment Committee
Manages financial planning, budgeting, and strategic investments.
Executive and Human Resource Committee
Handles HR policies, executive appointments, and organizational development.
Committee Governance
Each committee operates under clearly defined terms of reference in their respective Committee Charters. Members are appointed based on their skills and experience, and committees act with delegated authority from the Council.
